Terms of Service

Effective May 1, 2026 · Last updated May 1, 2026

Closed beta. These Terms govern access to RINAE.AI during its closed beta and apply to all current users. They will be updated as the Service evolves toward general availability. For questions, contact subscriptions@alpharose.com.

1. The agreement

These Terms of Service (the “Terms”) form a binding agreement between you and AlphaRose Therapeutics, PBC (“AlphaRose,” “we,” “us”), a Texas public benefit corporation, governing your use of the RINAE.AI platform at rinae.ai and any associated tools, APIs, and services we provide (the “Service”). By creating an account or using the Service, you agree to these Terms and to our Privacy Policy.

If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. What RINAE.AI is — and what it isn't

RINAE.AI is a research and design platform for rare-disease therapeutic discovery. It integrates three computational pipelines — Argus (evidence aggregation across public bioinformatics sources), Admiral (target amenability analysis), and Metamorph(antisense oligonucleotide design) — behind a single workspace. It is intended to help scientists and translational teams reason about gene targets, candidate variants, and possible interventions.

RINAE.AI is a research tool. It is not a medical device, it is not approved for clinical decision-making, and its outputs must not be used to diagnose, treat, or otherwise direct the care of any patient. Decisions about patient care must come from qualified clinicians using validated, regulated tools and processes. Any laboratory or clinical use of designs or insights produced by the Service requires independent scientific validation, regulatory review, and (where applicable) IRB or ethics-committee approval.

3. Beta status

The Service is in closed beta. We may change, add, remove, or pause features without notice. We may take the Service offline for maintenance or for any other reason. We do not currently provide a service-level agreement, and you should not rely on the Service for time-sensitive work without independent redundancy.

4. Eligibility and export compliance

  • You must be at least 18 years old to use the Service.
  • You must have the authority to enter into these Terms and to upload any content you submit.
  • You may not use the Service if a U.S. embargo or sanctions program prohibits us from offering it to you, if you are located in a U.S.-embargoed country or region, or if you are on the U.S. Treasury Department’s Specially Designated Nationals list, the Department of Commerce’s Denied Persons or Entity List, or any other U.S. government denied-party list.
  • You agree to use the Service in compliance with all applicable export-control and sanctions laws, including the U.S. Export Administration Regulations (EAR), the International Traffic in Arms Regulations (ITAR), and comparable regimes in other jurisdictions. You agree not to export, re-export, or transfer (including by deemed export to a foreign national) Service inputs, outputs, models, or documentation to any destination, end user, or end use prohibited by those laws without obtaining the necessary governmental authorizations.
  • Access during the beta is at our discretion. We may grant or revoke access to any account at any time.

5. Your account

You are responsible for safeguarding the credentials used to sign in (whether email + password, magic-link code, Google OAuth, or enterprise SSO), and for activity under your account. Tell us promptly at subscriptions@alpharose.com if you suspect unauthorized use.

Account information you provide must be accurate. You may not share your account with another person; if multiple people on your team need access, each should have their own account.

6. Acceptable use

You agree not to use the Service to:

  • upload or process Protected Health Information (PHI), identifiable patient records, or any data that requires HIPAA-grade safeguards. The Service is not designed for PHI, AlphaRose is not a HIPAA Business Associate for the Service, and we will not sign Business Associate Agreements during the beta. If we discover PHI in your account we may delete or quarantine it without notice and may suspend your access;
  • upload data subject to a third-party use restriction (controlled-access NIH dbGaP data, licensed datasets, etc.) unless you have authority and a clear basis to do so;
  • design, model, evaluate, optimize, or otherwise advance the development of chemical, biological, radiological, or nuclear agents intended to cause harm, including weaponizable pathogens, toxins, biological agents on the CDC/USDA select-agent list, or oligonucleotides whose intended use is to disrupt or modify the genome of an unauthorized human or non-human target. You also agree not to use the Service for “dual-use research of concern” (DURC) as that term is defined in U.S. federal policy without complying with the institutional review and oversight that policy requires;
  • reverse-engineer the Service, scrape it at scale, or use it to build a competing product;
  • use the Service to generate spam, phishing content, malware, or content that infringes anyone else’s intellectual property or privacy;
  • attempt to break our authentication, escalate privileges, exfiltrate other users’ data, or otherwise interfere with the integrity of the Service;
  • violate any applicable law in connection with the Service.

We may suspend or terminate access if we reasonably believe an account is being used in violation of this section.

7. Your content and our outputs

Your content

“Your Content” means everything you submit to the Service: text you enter, files you upload, queries you run, and conversations you have with the AI-assisted research interface. You retain all ownership and rights you had in Your Content before submitting it.

You grant us a limited, worldwide, non-exclusive, royalty-free license to host, store, transmit, and process Your Content for the sole purpose of operating the Service for you — including routing it through the third-party services described in our Privacy Policy. We do not use Your Content to train external AI models on your behalf.

Generated outputs

“Generated Outputs” are the artifacts the Service produces from Your Content — for example, Argus evidence scoring, Admiral amenability reports, and Metamorph candidate designs (including any nucleotide sequences, scoring matrices, or selection rationales). As between you and AlphaRose, you own the rights you have under applicable law in the Generated Outputs that originate from Your Content, subject to the limitations in these Terms (including Section 2 on clinical use and Section 6 on acceptable use).

You acknowledge and agree that, as to Generated Outputs:

  • AI systems do not produce uniquely original work, and other users may receive substantially similar or identical outputs (including identical or near-identical sequences) in response to similar inputs. AlphaRose makes no claim of exclusivity to any specific output and makes no representation that any output is novel, original, or unique;
  • AlphaRose makes no representation or warranty of patentable subject matter, patentability, or freedom-to-operate. A Generated Output may be invalidated by prior art (including prior art the Service itself ingested), may be subject to third-party patent rights, and may be unprotectable under the patent or copyright law of any jurisdiction;
  • AlphaRose retains the right, independently of these Terms, to develop, generate, and use materially similar outputs (including similar sequence designs and reports) for itself or for other users, and nothing in these Terms grants you a monopoly over any output, idea, sequence, or scoring result;
  • Generated Outputs are derived in part from public-source bioinformatics data (see Section 9) and from third-party model providers (see Privacy Policy Section 5). Use of Generated Outputs in publication, filing, commercialization, or redistribution may be subject to those upstream license terms;
  • You are solely responsible for evaluating Generated Outputs for accuracy, completeness, novelty, freedom-to-operate, patent landscape, and fitness for any specific purpose, and for retaining your own scientific and intellectual-property counsel before relying on a Generated Output for any decision of consequence.

The Service itself

AlphaRose retains all right, title, and interest in the Service itself, including the Service’s software, models, pipelines, design and scoring methodologies, evaluation methods, and underlying proprietary scientific approaches. Nothing in these Terms transfers ownership of the Service or any component of it to you.

8. Confidentiality

Each party may receive non-public information from the other in the course of using the Service. The receiving party will use that information only to operate or use the Service and will protect it with at least reasonable care. This obligation does not apply to information that is or becomes public without fault of the receiving party, was already known to the receiving party, is independently developed without reference to the disclosing party’s information, or must be disclosed by law.

Confidentiality terms negotiated separately between you (or your organization) and AlphaRose — for example, in a collaboration or evaluation agreement — control over this section to the extent of any conflict.

9. Third-party services and bioinformatics sources

The Service depends on third-party providers (identity, hosting, storage, compute, AI inference) listed in our Privacy Policy. Their availability, performance, and policies are outside our control. We are not responsible for outages or actions of those providers, and your use of the Service is also subject to any terms those providers impose where applicable.

The Service queries public bioinformatics resources on your behalf, including (without limitation) ClinVar, gnomAD, GTEx, OpenTargets, BioGRID, BioPlex, UCSC Genome Browser, Ensembl, and similar databases. Data returned from those resources is made available to you subject to the originating resource’s license, attribution requirement, and redistribution restriction. You are responsible for reading and complying with each such resource’s terms before you publish, file, commercialize, or otherwise redistribute any result derived from them, and for providing the attribution each resource requires. AlphaRose makes no representation that the licenses of upstream bioinformatics resources are compatible with your intended use.

10. No medical or regulatory warranties

THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, OR UNINTERRUPTED OPERATION.

Without limiting the foregoing, AlphaRose specifically represents that the Service:

  • has not been cleared, approved, or otherwise authorized by the U.S. Food and Drug Administration or any equivalent foreign regulator, and is not a medical device, an in vitro diagnostic, or a clinical decision-support tool subject to such clearance;
  • has not been validated under, and does not comply with, any Good Practice quality system applicable to drug development or laboratory operations, including Good Laboratory Practice (GLP), Good Clinical Practice (GCP), Good Manufacturing Practice (GMP), Good Documentation Practice, or any other GxP regime;
  • is not validated under 21 CFR Part 11 (electronic records and signatures) and should not be used as a system of record for any GxP-regulated activity;
  • is not operated under a quality-management system suitable for ISO 9001 / ISO 13485 / ISO 15189 reliance;
  • must not be relied upon for IND-enabling studies, regulatory submissions, GLP-grade nonclinical studies, GCP-grade clinical studies, or any other activity for which a validated, regulated system is required.

Any decision to act on a Service output is made at your own risk and must be supported by independent scientific, clinical, regulatory, and intellectual-property judgment.

11. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, ALPHAROSE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST DATA, OR BUSINESS INTERRUPTION, ARISING FROM OR RELATED TO THE SERVICE, EVEN IF ALPHAROSE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

ALPHAROSE’S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) ONE HUNDRED U.S. DOLLARS (USD $100) AND (B) THE AMOUNTS YOU HAVE PAID TO ALPHAROSE FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE LIABILITY. DURING THE BETA, WHEN THE SERVICE IS PROVIDED FREE OF CHARGE, THE FLOOR IS USD $100.

Some jurisdictions do not allow the exclusion of certain warranties or the limitation of certain damages; in those jurisdictions, the limitations above apply to the maximum extent permitted by law.

12. Indemnification

You will defend, indemnify, and hold harmless AlphaRose and its officers, directors, employees, and contractors from and against any third-party claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from (a) Your Content, (b) your use of the Service in violation of these Terms or applicable law, or (c) any decision you or anyone acting on your behalf makes in reliance on a Generated Output, including in a clinical or pre-clinical context.

13. Suspension and termination

You may stop using the Service at any time and may request deletion of your account at subscriptions@alpharose.com. We may suspend or terminate your access if we reasonably believe you have violated these Terms, if your account has been inactive for an extended period, or if we are required to do so by law. Sections that by their nature should survive termination — including ownership, confidentiality, disclaimers, limitations of liability, indemnification, and governing law — will survive.

14. Governing law and disputes

These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law principles. Any dispute arising out of or related to these Terms or the Service will be resolved exclusively in the state or federal courts located in Travis County, Texas, and each party consents to personal jurisdiction and venue there. Each party waives any right to a jury trial.

Nothing in this section prevents either party from seeking injunctive relief in a court of competent jurisdiction to protect intellectual property or confidential information.

15. Changes to these Terms

We may update these Terms from time to time. When we do, we will revise the “Last updated” date at the top. Material changes will be announced in the application or by email to active accounts. Continued use of the Service after a change becomes effective means you accept the updated Terms.

16. General

These Terms, together with our Privacy Policy and any separate written agreement between you (or your organization) and AlphaRose, are the entire agreement between us regarding the Service and supersede any prior arrangement on the same subject. If any provision is held unenforceable, the remaining provisions stay in effect. Our failure to enforce a provision is not a waiver of it. You may not assign these Terms without our written consent; we may assign them in connection with a corporate transaction.
